Terms of Service

1. Who we are and what these terms cover

These Terms of Service (the "Terms") are an agreement between you and Wildflower Sound, an audio company operated by Braden Parkes as an individual, and its successors (the "Company", "we", "us", or "our").

Our business address for notices is Wildflower Sound, 18034 Ventura Blvd PMB 713, Encino, CA 91316, United States. The fastest way to reach us is support@wildflowersound.io, and we aim to reply within 2 business days.

These Terms cover your use of:

• our website and store at wildflowersound.io and wildflowersound.io/plugins (the "Site"),
• your purchases of Wildflower Sound audio plugins (the "plugins"), and
• the optional rent-to-own subscription (the "rent-to-own subscription").

By using the Site or buying from us, you agree to these Terms, to our End User License Agreement (the "EULA"), and to our Privacy Policy and Refund Policy, which are all part of your agreement with us. If you do not agree, please do not use the Site or buy the plugins.

2. Your account

• Logging in is by email magic link. There are no passwords. When you want to sign in, we email a one-time link to your account email. Keep access to that inbox secure, since anyone who can open your email links can reach your account.
• You are responsible for the activity under your account. Tell us at support@wildflowersound.io if you think someone else has gained access.
• Your account area shows your points balance, redemptions, licenses and machine activations, downloads, invoices (through Paddle), and your subscription controls.
• You must be old enough to enter a contract where you live to buy from us or hold an account. The Site is not directed at children under 16.

3. The plugins and what a purchase gives you

• Each plugin is licensed, not sold, to you under the EULA. Buying a plugin gives you a permanent personal license to that plugin. Buying or redeeming does not transfer ownership of the software itself.
• Plugins are delivered as digital downloads (formats such as VST3 and AU, on macOS and Windows, with AAX coming at version 1.0). There is no physical product.
• Use, activations (up to 3 machines per license), offline use, and license rules are set out in the EULA.

4. Prices and buying outright

• Each plugin: $50 (US dollars), outright.
• Full Bundle of all ten plugins: $350 (US dollars), outright.
• Prices are in US dollars unless the checkout shows otherwise. Your final price, any taxes, and your currency are shown at checkout by Paddle.
• We may change prices over time. A price change does not affect a purchase you have already completed. It also does not change the redemption price locked to your rent-to-own subscription (see Section 6).

5. Payments, taxes, and Paddle as merchant of record

Your purchases and subscription payments are processed by Paddle as our merchant of record. In plain terms:

• Paddle is the seller of record for the transaction. When you check out, you are buying through Paddle, and Paddle's checkout terms apply to that transaction alongside these Terms.
• Paddle handles payment processing, VAT and sales tax, invoices and receipts, and any payment disputes or chargebacks.
• Charges may appear on your card or bank statement as "PADDLE.NET*" or similar.
• The license to use the plugins still comes from us under the EULA. Paddle handles the money; we provide the software and your rights to use it.
• Invoices for your purchases and subscription payments are available in your account area (provided through Paddle).

If a payment fails, is reversed, refunded, or charged back, it can affect your access and your points balance, as described below and in the Refund Policy.

6. The rent-to-own subscription

The rent-to-own subscription is an optional way to get the plugins over time instead of buying outright.

How it works:

• It is one subscription at $10/month (US dollars). That is the only rate, and it is shown at checkout before you pay, and on your account page afterward.
• While your subscription is active, you may use the full catalog of plugins under the EULA.
• Each successful payment earns you one point for every US dollar it charges. At $10 a month that is 10 points. You earn points to match what you actually paid.
• You redeem a plugin at 50 points. A redeemed plugin is yours to keep and use permanently, even after you cancel. At $10 a month that is five payments.
• Points never expire. Cancelling or pausing never removes plugins you already own or points you have already earned.

Points details:

• Points are a record of your progress under this subscription. They are not money and not a payment method, and they are not a currency, a credit balance, a voucher, or a gift certificate. Points have no cash value. They cannot be bought, sold, transferred, or given to anyone else, cannot be withdrawn or refunded as cash, and cannot be used to pay your subscription fee. The only thing points can ever be exchanged for is a permanent license to one of our own plugins.
• Points are not eligible toward the $350 Full Bundle price. The bundle discount is an incentive for buying outright with money.
• If a payment is refunded or charged back, the points that payment earned are subtracted. If your points go negative, you cannot redeem plugins until they are positive again. This does not remove plugins you already redeemed and own.
• Your redemption pricing is locked to the price in force when you first subscribed. If plugin prices change later, the points needed to redeem stay at the rate you started with.

Access, grace period, and lapses:

• Full-catalog access depends on an active subscription and a current signed catalog pass, which refreshes on each successful payment (see the EULA for offline refresh).
• If a payment fails and is not resolved, or after your cancellation takes effect, full-catalog access continues for a 7-day grace period, then lapses. After that, you keep every plugin you have redeemed to own, and you keep your points, but you can no longer use plugins you have not yet redeemed.

7. Auto-renewal, and how to cancel (please read)

This is important, so we are stating it plainly:

• The rent-to-own subscription automatically renews every month until you cancel it. That is $10 per month (US dollars). The price is shown at checkout before you pay, and again on your account page. You will be charged that amount at the start of each monthly billing period, on a recurring basis, with no further action needed from you, until you cancel.
• You agree to these recurring charges when you sign up. We collect your clear consent to the auto-renewing monthly terms, at the rate you are being charged, at signup and before your first payment.
• You can cancel anytime with a simple one-click control in your account area. No phone call, no email required, no hoops.
• Cancellation takes effect at the end of your current billing period. You keep full-catalog access through the period you have already paid for (then it follows the grace-period rule in Section 6). We do not prorate or refund the current period on cancellation as a matter of course, except as stated in the Refund Policy. If a renewal went through when you had meant to cancel, email us and ask; see Section 8 for how we approach that.
• You may also pause your subscription from your account area. Pausing stops future point accrual and, after the grace period, full-catalog access, but never removes plugins or points you already have.
• We will bill your subscription through Paddle. If a renewal payment fails, we may retry it and will let you know; unresolved failures lead to the grace period and lapse described above.

Your first monthly payment may be refundable as described in the Refund Policy. Later monthly payments are not refunded, but you can cancel anytime, and your points never expire.

8. Refunds

We offer a 14-day money-back guarantee on outright purchases, and the first monthly subscription payment is refundable within 14 days. Later monthly payments are not refunded automatically, though Paddle, as seller of record, may issue one at its own discretion or where the law requires. Refunds are processed through Paddle. The full details are in our Refund Policy, which is part of these Terms.

How we actually handle this. The rules above are where we start, not where we stop. If a renewal caught you at a bad moment, if you meant to cancel and did not get to it, or if something simply went wrong, email support@wildflowersound.io and ask. We would rather be generous and keep you than be right about a policy. We are a small company, we would like you to stay, and we would rather sort something out than have you leave unhappy.

9. Downloads and delivery

After a successful purchase or subscription payment, your plugins and license files become available in your account area to download. It is your responsibility to download and keep your installers and license files. We aim to keep downloads available to account holders, but we do not guarantee that every past version will remain downloadable forever.

10. Acceptable use of the Site

Please use the Site fairly. Do not try to break, overload, scrape at scale, or gain unauthorized access to the Site or its systems, and do not use it to break the law or infringe anyone's rights. We may suspend or limit access that threatens the Site, other users, or us.

11. The Wildflower community (optional)

We may link to a Discord community from the Site. Joining is entirely optional and is not required to buy or use the plugins. Discord is a separate service with its own terms and privacy practices, which apply to your use of it. Be kind and follow any community guidelines we post.

12. Intellectual property

The Site, the plugins, the "Wildflower Sound" name, the "Wild" plugin names, and all related content, artwork, and trademarks belong to the Company and are protected by law. These Terms and the EULA give you specific, limited rights to use the plugins and the Site. They do not transfer ownership of anything to you. All rights not expressly granted are reserved.

13. Giving back

A share of our profits (our 8% pledge) goes to pollinator and wildflower habitat work through the Xerces Society. This is part of who we are, not part of your contract, and it does not change the terms above.

14. Warranty disclaimer and limitation of liability

The Site and the plugins are provided "as is" and "as available", without warranties of any kind to the fullest extent allowed by law. Our warranty disclaimers and the limits on our liability are set out in the EULA and apply to these Terms as well. In short, and to the extent the law allows, we are not liable for indirect or consequential losses, and our total liability is capped at what you paid us for the relevant plugin or subscription period. Nothing here limits rights or liability that cannot be limited by law.

15. Changes to these Terms

We may update these Terms as our business grows. If we make a material change, we will post the updated Terms with a new effective date and, where reasonable, let you know. Changes do not apply retroactively to a completed purchase, and your locked rent-to-own redemption pricing is protected as described in Section 6. If you keep using the Site or your subscription after a change takes effect, you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms, the Site, or your purchase will be brought in the state or federal courts located in Los Angeles County, California, and you and we each consent to the personal jurisdiction of those courts. If the consumer law where you live gives you the right to bring a claim in your local courts, this section does not take that right away. Because Paddle is the merchant of record for your purchase, payment and transaction disputes may also be subject to Paddle's terms.

17. If our business changes hands

Wildflower Sound may change its legal form as it grows, for example by incorporating, and the business could one day be sold, merged, or reorganized. If that happens, we may transfer these Terms, along with our rights and obligations under them, to the entity that takes over the business. Your account, the plugins you own, and your points balance all go with it and stay on the same terms. We will never use a transfer to take away something you already own or to make these terms less favorable to you, and where the law requires us to tell you, we will.

Your side of these Terms is personal to you, so you may not transfer it without our written agreement.
